Role Overview
We are seeking a qualified Company Secretary (CS + LL.B) with strong hands-on
experience in corporate secretarial compliances and governance.
This role is primarily secretarial-focused, requiring independent handling of
Companies Act compliances, Board processes, statutory filings, and
multi-entity governance.
The position will report to senior leadership and will play a key role in
ensuring regulatory compliance and corporate governance across Indian
entities.
Key Responsibilities
1.
Corporate Secretarial & Companies Act Compliance
Ensure end-to-end compliance under the Companies Act, 2013 and applicable
rules
Manage all ROC filings (annual and event-based forms)
Maintain statutory registers, minutes books, and corporate records
Handle charge creation, modification, and satisfaction filings
Oversee share allotments, transfers, capital restructuring, and related
corporate actions
Manage incorporation, strike-offs, registered office changes, and structural
modifications

Board & Governance Management
Convene and manage Board Meetings, Committee Meetings, AGMs, and EGMs
Draft notices, agendas, board notes, and resolutions
Prepare and finalize minutes in compliance with Secretarial Standards
Ensure proper documentation and timely regulatory submissions
Advise management on corporate governance matters

Regulatory Liaison & Audit Support
Liaise with ROC, MCA, NSDL, RTA, and other regulatory authorities
Coordinate with statutory auditors and practicing company secretaries
Facilitate secretarial audits and ensure closure of audit observations
Ensure compliance trackers and governance MIS are maintained

Multi-Entity & Real Estate SPV Management
Handle compliance for multiple group entities/SPVs
Ensure governance standards across project-based entities
Support corporate restructuring and internal entity changes
Candidate Profile
Qualified Company Secretary (ICSI membership mandatory)
LL.B preferred
7–15 years of relevant secretarial experience
Strong hands-on Companies Act compliance experience
Experience handling Board processes independently
Experience managing multiple entities/SPVs (real estate exposure preferred)
Strong drafting, documentation, and communication skills
Ability to work with senior stakeholders
Preferred Industry Background
