ROLE PURPOSE
Own the Company's path to public markets — driving the IPO preparedness
programme along with the team, from inception
to filing of the DRHP — and thereafter lead the ongoing Investor Relations and
institutional coverage franchise as a listed
entity. The role involves coordinating with advisers, bankers and internal
workstreams, and providing the Executive Council
with a single, reliable line of sight on readiness and progress.

KEY RESPONSIBILITIES
Phase 1
Inception to DRHP
● Programme ownership — build and drive the IPO readiness roadmap, gating
milestones and workstream tracker; own the critical path to DRHP filing.
● Adviser & banker management — run BRLM/syndicate selection, legal
counsel, reporting accountants, industry experts and registrar; coordinate the
deal team and hold it to timeline.
● Equity story & DRHP — shape the equity narrative and valuation
positioning; manage drafting of the DRHP (business, MD&A, risk factors,
KPI and financial disclosures) and diligence responses.
● Readiness — restated financials, corporate governance and board readiness,
internal controls, and SEBI / stock-exchange filing preparedness.
● Pre-IPO investor engagement — analyst education, and anchor / cornerstone
conversations; stand up the IR infrastructure, data room and disclosure
policy.
● Governance reporting — provide the Executive Council and Board with
structured, periodic updates on progress, risks and decisions required.
Phase 2
Post-Listing IR
● IR leadership — own the end-to-end Investor Relations function, the equity
story in the market, and consistency of external messaging.
● Research & coverage — manage sell-side research relationships across
domestic and foreign brokers; steward consensus, models and estimate quality.
● Institutional coverage — build and maintain relationships across DIIs and
FIIs; targeting, conferences and perception studies.
● Reporting cycle — drive quarterly results, earnings calls, guidance and
investor presentations; ensure disclosure quality and timeliness.
● Compliance — SEBI LODR continuous obligations, fair-disclosure discipline
and market-facing regulatory interface.
● Feedback loop — channel investor and market intelligence back to the CIO,
Executive Council and Board.
QUALIFICATIONS & EXPERIENCE
● Education — CA, MBA (Finance) and / or CFA charterholder; strong grounding
in accounting, valuation and capital
markets.
● Experience — ~12–15+ years across equity capital markets, investment
banking, corporate finance or listedcompany
IR, with hands-on IPO execution (buy-side or sell-side).
● Domain — Demonstrated command of SEBI / DRHP processes, financial
disclosure, equity storytelling and
financial modelling; real estate / infrastructure / REIT exposure preferred.
● Stakeholder — Executive presence to command a room of bankers, analysts and
institutional investors, and to
brief Board and promoter-level stakeholders with clarity.
