AVP Legal Counsel – Banking and Financial Services

Job Summary:

The AVP Legal Counsel will play a critical role in providing legal guidance and support within our Banking and Financial Services sectors. This position involves drafting, negotiating, and reviewing a variety of legal documents while ensuring compliance with regulatory frameworks and laws, significantly impacting our operational efficiency and risk management.

Key Responsibilities:

• Draft, review, vet, and negotiate Business Correspondent (BC) agreements, DSA agreements, and related onboarding documentation.
• Create facility agreements (secured/unsecured) and co-lending agreements along with SLAs.
• Prepare hypothecation deeds, guarantees, demand promissory notes (DPNs), and non-disclosure agreements (NDAs).
• Review constitutional documents and authorizations for lending transactions to ensure legality and compliance.
• Conduct legal research and track regulatory updates impacting NBFC operations for strategic insights.
• Liaise with external counsel, law firms, and consultants for transaction and legal support where necessary.
• Assist in maintaining documentation systems and records, ensuring optimal organization and accessibility.

Requirements:

• Education: LLB/LLM from a recognized institution.
• 8 – 15+ years of post-qualification experience (PQE) in Banking, NBFC, or Financial Services.
• Demonstrated strong experience in Supply Chain Finance, co-lending, and bilateral loan documentation.
• Robust drafting and negotiation skills with a deep understanding of lending products.
• Solid familiarity with applicable laws, RBI regulations, and guidelines pertinent to NBFC operations.
• Excellent communication skills, with attention to detail and a tech-friendly mindset.
• Strong analytical and research skills to support legal evaluations and technical assessments.

Preferred Qualifications:

• Hands-on experience in drafting and negotiating complex co-lending structures and agreements.
• Familiarity with the review process of Business Correspondent (BC) and DSA agreements.
• In-depth knowledge of relevant laws including Companies Act, Indian Contract Act, Sale of Goods Act, Transfer of Property Act, IBC, and SARFAESI.
• Strong command and insight into RBI Master Directions applicable for NBFCs, including outsourcing guidelines and co-lending guidelines.
