JD: Compliance Officer and Company Secretary
Location: India
The Compliance Officer will support IPO readiness and post-listing compliance,
including London Stock
Exchange (LSE) and related filings and disclosures. The role will also manage
Board secretarial matters,
oversee multi-jurisdiction tax compliance coordination, and ensure adherence
to corporate governance
and regulatory requirements.
Key Responsibilities
• Support IPO preparation, due diligence, and regulatory coordination.
• Manage post-IPO and LSE/SGX compliance filings, disclosures, and reporting
obligations.
• Coordinate Board and Committee meetings, agendas, minutes, and statutory
records.
• Manage multi-jurisdiction compliance and regulatory filing requirements.
• Maintain and strengthen corporate governance, compliance frameworks,
internal policies,
controls, and processes while monitoring regulatory changes and ensuring
timely compliance.
• Liaise with legal counsel, auditors, regulators, and external advisors.
• Support treasury-related compliance, banking documentation, and regulatory
requirements, as
needed.
Preferred Profile
• Experience in IPO and listed company compliance.
• Strong understanding of corporate secretarial and governance matters.
• Familiarity with LSE or international listing regulations preferred.
• Exposure to cross-border regulatory and tax compliance.
• Strong communication, coordination, and stakeholder management skills.
Qualifications:
• Qualified Company Secretary (CS) preferred; LLB, CA, CPA, or equivalent
professional
qualification would be an advantage.
• 7–12 years of experience in compliance, corporate secretarial, IPO, or
listed company
environment.
