Sample Offer Letter: Format, Clauses and Examples for India

Key Takeaways
- 1An India offer letter needs eight core items: role, location, joining date, pay annexure, probation, notice, conditions such as background checks, and an offer expiry date.
- 2The Labour Codes took effect on 21 November 2025, and the Ministry of Labour lists issuing an appointment letter to every new recruit as an employer duty.
- 3Under the Ministry’s FAQs, performance-based incentives and variable pay are not part of “wages”, so keep variable pay in its own annexure line.
- 4The Ministry says a fixed-term employee is eligible for gratuity after one year of service under the contract, paid pro rata, so state the term and end date.
- 5Three templates below, lateral, fresher and fixed-term, use capitalised placeholders and are templates only, not legal advice, so have HR or counsel approve the final wording.
A sample offer letter is a ready-made template that an employer fills in to offer a job in writing. It states the role, pay, joining date and key conditions. A good Indian offer letter has eight parts: role, location, joining date, pay annexure, probation, notice, conditions and an offer expiry date.
This guide gives three copy-ready templates (lateral, fresher and fixed-term), a clause-by-clause table, a CTC annexure layout and two checklists. Capitalised words such as COMPANY NAME and AMOUNT are placeholders you replace.
Recruiters who send offers in volume can see how HireBound supports the stages around the offer.
These templates are for illustration. This is general information, not legal advice. Have HR or a lawyer approve the final wording for your company and state.
What Should an Offer Letter Contain?
An offer letter should contain enough detail that the candidate can say yes without asking basic questions. Leave out any item below and the candidate will write back or go quiet.
- Role and reporting line. Give the job title, department and the manager’s designation.
- Place of work. Name the city and office, and say whether the role is remote or hybrid.
- Joining date. State a date, or “on or before DATE”.
- Pay. Give the annual CTC and attach a breakup as an annexure.
- Probation. State the length and what happens at the end.
- Notice period. Say how much notice each side gives.
- Conditions. List background verification, document submission and any other contingency.
- Validity. Say by when the candidate must accept.
If you are the candidate, the offer letter acceptance email guide shows what to write once you have read the letter.
Offer Letter vs Appointment Letter: What the Law Says
An offer letter is the employer’s written proposal. An appointment letter is the document that confirms the job after the candidate accepts and the conditions are met. Many Indian employers send both, and the appointment letter often follows joining.
The official pages speak about appointment letters, not offer letters. A Press Information Bureau release of 21 November 2025 says the four Labour Codes took effect that day and lists “mandatory appointment letters to all workers” among the changes. The Ministry of Labour and Employment’s Compliance Handbook for Employers lists issuing an appointment letter to every new recruit as an employer duty.
Rules under the Codes are still being finalised. The Ministry’s FAQs say that, until new rules are notified, old rules stay in force to the extent they are in line with the Codes. So who is covered and what the letter must say can depend on the Code, the rules and your state.
In practice, treat the offer as a document a candidate will rely on. Whether it is binding depends on its wording and on the contract that follows. Keep it consistent with the appointment letter you will issue.
Offer Letter Clauses Explained
The table lists each clause, what to write and why it matters. Use it to build your own letter or to check one you received.

Each clause answers a question the candidate would otherwise ask.

DESIGNATION, COMPANY NAME
If you want a training bond or a service agreement, state its period, amount and release conditions in plain words, and have it reviewed before issue. A bond buried in a long document often causes offer drop-offs.
Sample Offer Letter 3: Fixed-Term Contract Role
Use this when the job has a set end date, such as a project.
COMPANY NAME
Letter date: DATE
Dear CANDIDATE NAME,
We offer you a fixed-term position as JOB TITLE at OFFICE CITY for the period DATE to DATE.
- Term. This is a fixed-term engagement that ends on END DATE unless extended in writing. It does not carry an automatic right to renewal or conversion.
- Compensation. Your annual CTC is AMOUNT, with the breakup in Annexure A.
- Benefits. Leave, medical and social security benefits apply as per company policy and applicable law.
- Early termination. Either party may end the contract earlier by giving NOTICE DAYS days of written notice.
- Conditions. This offer is subject to satisfactory background verification.

On fixed-term pay and benefits, the official position is specific. A PIB release says fixed-term employees are to receive benefits equal to permanent workers, including leave, medical and social security. The Ministry’s FAQs say a fixed-term employee is eligible for gratuity after one year of service under the contract, paid on a pro-rata basis.
The FAQs say fixed-term employment covers employees engaged directly by the employer, so a contractor’s workers may be treated differently.

Mistakes That Cause Disputes and Drop-Offs
These errors come up most often.
- A CTC with no breakup. The candidate cannot work out monthly pay, so they ask a competing employer to match a guess.
- Vague notice terms. “As per policy” with no policy attached leaves both sides unsure.
- Conditions revealed late. Background verification or a bond first mentioned at joining feels like a bait and switch.
- Variable pay mixed into fixed pay. The Ministry’s FAQs treat variable and performance-based incentives as outside “wages”, so show them on a separate line.
- No expiry date. An open offer keeps the role blocked and gives the candidate no reason to decide.
The CTC meaning guide covers why a headline CTC and monthly in-hand pay differ.
Conditions to Add: Probation, Notice and Background Checks
Four conditions belong in nearly every offer, each in plain wording.
For probation, state the length and who decides confirmation. The probation period guide explains where the rules come from in India. Do not copy another company’s probation length without checking your own standing orders or state Act.
For notice, state what each side owes and whether pay in lieu is allowed. If the rules differ during probation, write that out.
For background verification, say which checks apply and what happens if a discrepancy appears. The background verification explainer describes the usual checks and the consent step.
Personal data needs its own line. An offer collects a candidate’s identity documents and history. India’s Digital Personal Data Protection Rules were notified on 14 November 2025, according to a PIB release of that date. Name the purpose for which you hold the data and link your privacy notice. The DPDP Act compliance checklist lists what recruiters should cover.
Annexure A: CTC Breakup Format
The annexure turns one number into pay the candidate can plan around. The table is a layout only and carries no figures.
#table
name: CTC annexure layout for an offer letter
cols: 4
[header]
Component | Annual amount | Monthly amount | Note
[body]
Basic salary | AMOUNT | AMOUNT | Fixed, paid monthly
House rent allowance | AMOUNT | AMOUNT | Fixed, paid monthly
Special allowance | AMOUNT | AMOUNT | Fixed, paid monthly
Employer provident fund | AMOUNT | AMOUNT | Paid to the PF account
Gratuity provision | AMOUNT | AMOUNT | Paid as per the gratuity rules
Insurance premium | AMOUNT | NOT APPLICABLE | Paid to the insurer
Variable pay | AMOUNT | NOT APPLICABLE | Paid only if conditions are met

Match the rows to your own pay structure, then check them against these points.
- Wages. Under the Ministry’s FAQs, “wages” covers basic pay, dearness allowance and retaining allowance. If other allowances exceed 50% of all remuneration, the excess is added back to wages. Check your split against this rule.
- Gratuity. The Ministry says gratuity is 15 days’ wages for each completed year, subject to the maximum notified by the Central Government, currently ₹20 lakh. It applies on the Code’s wage definition from 21 November 2025. It is payable on exit after five years of continuous service in most cases.
- Provident fund. Employee and employer each contribute 12% of basic wages, per a PIB release of 17 September 2026. That release says the Cabinet raised the EPF wage ceiling from ₹15,000 to ₹25,000 a month from that date. Confirm with your payroll team whether PF is on actual or capped wages.
What Should Candidates Check Before Signing?
A signed offer starts a process that is hard to reverse. Check these first.
- Does the annexure total match the CTC in the letter?
- Is variable pay shown separately, with its measure and payout date?
- Do your joining date and your current notice period fit together?
- Is every condition, including verification and a bond, written down?
- Does the letter give probation length and notice terms for both sides?
- Is there an expiry date, and can you ask in writing for more time?
If a point is unclear, ask in writing before you accept.
HR Checklist Before You Send an Offer
Run this list before any offer leaves HR.
- The hiring manager and finance have approved the pay and the level.
- The annexure adds up to the CTC.
- The designation, location and joining date match the job posting.
- Every contingency is stated: background verification, documents and relieving letter.
- The notice and probation wording matches your policy and the appointment letter template.
- The data-privacy clause names the purpose and links your notice.
- Legal or HR counsel has approved the template, not only this sample.
Keep one controlled template and let recruiters fill only the placeholders.
Where HireBound Fits in the Offer Stage
Writing the letter is rarely the slow part. Chasing acceptances and collecting documents is.

HireBound’s Voice AI handles conversations in 14 Indian languages, so a candidate can ask offer questions in a language they prefer. HireBound has powered 8 million+ candidate conversations.
For high-volume roles, HireBound’s bulk hiring platform offering includes bulk offer generation, customizable templates, tracking and e-signature integration, followed by digital onboarding with document management. The approvals, the pay decision and the final wording stay with your HR team. HireBound does not promise that candidates will accept or join.

One Rule to Remember
Write the offer so a candidate can explain it to a family member without calling you. If it needs a call to decode, add the missing clause or the missing row in the annexure. Then have the template approved, send it once and track the reply.
